Terms and Conditions

Top Notch Network LLC | topnotch-cleaning.com | Last Updated: October 14, 2026

PLEASE READ THESE TERMS CAREFULLY. SECTION 24 CONTAINS A BINDING ARBITRATION AGREEMENT AND A CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED IN SECTION 24.8.

1. Agreement to These Terms

These Terms and Conditions (the “Terms”) are a legal agreement between you and Top Notch Network LLC, a limited liability company (“Top Notch,” “we,” “us,” or “our”). They govern your use of our website at topnotch-cleaning.com, our booking system, customer messaging system, and any related services (together, the “Platform”).

You accept these Terms by checking the agreement box when you create an account or book a service, or by otherwise using the Platform. If you do not agree, do not use the Platform.

These Terms incorporate by reference our Privacy Policy and, if you join our cleaning membership, the Cleaning Membership Agreement. If the Cleaning Membership Agreement conflicts with these Terms on a membership matter, the Cleaning Membership Agreement controls.

We record the date, time, and version of the Terms you accept. You can view the current version at any time at topnotch-cleaning.com/terms.

2. Definitions

– Customer: A person who books or receives Services through the Platform.
– Provider: An independent contractor (a housekeeper or cleaning business) who performs Services for Customers through the Platform.
– Services: Residential cleaning performed by a Provider.
– Booking: A request for Services that has been confirmed through the Platform.
– Arrival Window: The time range during which the Provider is scheduled to arrive.
– Service Location: The home, property, or location where Services are performed.
– CRM: Our customer relationship management and messaging system used for Bookings and communications.

3. Top Notch Is a Marketplace, Not a Cleaning Company

Top Notch operates a marketplace that connects Customers with independent Providers. Top Notch does not itself perform cleaning services and is not a cleaning company. Providers are independent contractors who operate their own businesses. They are not employees, agents, or partners of Top Notch.

Providers choose which jobs they accept, supply their own equipment and products, and control the methods and manner in which they perform the work. Top Notch sets Customer pricing, processes payments, provides scheduling and messaging tools, and sets platform standards for safety, conduct, and documentation.

Each Provider is responsible for the quality of their own work and for any loss or damage they cause. Top Notch’s role in quality concerns and damage claims is limited to the processes described in Sections 13 and 14.

4. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Platform. By using the Platform, you confirm that you meet these requirements. Commercial cleaning is available by quote and may be subject to a separate written agreement.

You must be the owner of, or authorized by the owner of, the home being serviced, and you must have the authority to grant the Provider access to it.

5. Your Account

You are responsible for keeping your account information accurate and current, keeping your password secure, and all activity under your account. Notify us immediately at support@topnotchnetwork.com if you believe your account has been accessed without permission. You may not transfer your account to anyone else.

6. Booking Services

6.1 How Bookings Work

When you request Services, you provide information about the Service Location and the services you want. Your request is offered to available Providers in your area. A Booking is confirmed when a Provider accepts it and you receive a confirmation by email or text. Submitting a request does not guarantee that a Provider will be available.

Every Booking is subject to verification of the address, service, and home details. We may decline or cancel any request at our discretion, including if we cannot match a Provider, and you will not be charged for a request we cancel.

6.2 Arrival Windows and Time Estimates

Arrival Windows and service durations are estimates, not guarantees. Every home is different, and traffic, weather, and prior jobs can affect timing. A Provider arriving later than the Arrival Window does not by itself entitle you to a refund or void the cancellation policy, but you may cancel without a fee if the Provider has not arrived within 60 minutes after the end of the Arrival Window.

6.3 Provider Assignment

We may assign or reassign a Booking to a different Provider, including on short notice, if the original Provider becomes unavailable. We will notify you if this happens.

6.4 Accurate Information

You must describe your home accurately, including the number of bedrooms and bathrooms, square footage, condition, pets, pet hair, stains, odors, mold, biological waste, and any hazards. If the actual size or condition differs materially from your Booking, the Provider may stop and request approval of an updated price as described in Section 7.3. Failure to disclose hazardous conditions such as mold, biological waste, pests, or heavy soiling voids the satisfaction guarantee in Section 13 for that Booking.

7. Pricing

7.1 House Cleaning

Cleaning prices are based on the number of bedrooms and bathrooms in your home, its square footage, the type of cleaning you choose, and any add-ons. Your price is shown before you book, based on the information you provide. Current prices are published on topnotch-cleaning.com. Top Notch does not charge booking fees or card processing fees.

Your price covers the tasks included in the type of cleaning and the add-ons you book. Any guidance we provide about how long a cleaning will take is an estimate only. Tasks that are not part of your booked cleaning or add-ons are not included unless you request them and approve the added price as described in Section 7.3. You will not be charged for additional work you did not approve. If you are a member, member pricing is set out in the separate Cleaning Membership Agreement.

7.2 Condition Surcharges

Jobs involving excessive pet hair, mud, heavy staining, smoke odor, or biological material (such as urine, vomit, blood, or feces) are subject to a surcharge of at least 20% of the service price, or the price of the applicable add-on service. Biological-waste cleanup is offered only by Providers who have opted in to that service.

7.3 Your Approval Before Any Price Increase

No price increase will be charged without your approval. If a Provider determines that your home is larger, dirtier, or different than booked, or you request work beyond your Booking, the Provider will flag it before starting the additional work. You will receive the updated price through the CRM, by text, or in person, and you may approve or decline it. If you decline:

– For a home that differs from the Booking, the Booking is cancelled and the trip fee in Section 7.4 applies; or
– For additional work you requested, the Provider completes only the originally booked Services.
Work outside the scope of a Booking that you approve is billed at the posted add-on price or, if none applies, at $75 per hour.

7.4 Trip Fee

A trip fee of $25 is charged if (a) the Provider arrives and the home differs materially from the Booking and you decline the updated price, or (b) the Provider arrives and cannot access the home as described in Section 11.3. The trip fee is paid in full to the Provider for their time and travel.

7.5 Taxes

Prices do not include sales or other taxes. Applicable taxes are calculated at checkout based on the Service Location and are shown before you confirm.

7.6 Price Changes

We may change our published prices at any time. Price changes do not affect Bookings already confirmed. Price changes for members are governed by the Cleaning Membership Agreement.

8. Payment

8.1 Payment Processing

All payments are processed by Stripe, Inc., our third-party payment processor. By booking, you authorize Top Notch to charge your payment method through Stripe for the Services, approved additional charges, applicable fees, taxes, and tips. Top Notch does not store your full card number. Your payment information is subject to Stripe’s terms and privacy policy.

8.2 Card on File and Authorization Hold

A valid payment card is required to book, and your card is saved securely with Stripe at the time of booking. By booking, you authorize Top Notch to charge your saved card, without further approval, for the Services after they are completed, approved additional time or charges, tips you add, applicable taxes, and any late-cancellation, lockout, no-show, or trip fees that apply under Section 11. We may also place a temporary authorization hold on your card, typically up to 10% of the estimated price, at booking or shortly before your appointment to confirm the card is valid. A hold is not a charge and is released automatically, though your bank may take several business days to remove it. If your saved card is declined before your appointment, we may ask you to update it and may cancel the Booking if it is not updated.

8.3 When You Are Charged

Your payment method is charged upon completion of the Services, unless the Booking states otherwise. Cancellation fees, no-show charges, and trip fees are charged when they are incurred.

8.4 Payments by Phone

If you choose to provide payment details by phone, you authorize our staff to enter them directly into Stripe for the specific charges you approve on the call. Our staff will not write down or retain your card details, and any card information taken by phone is destroyed immediately after it is entered. Where possible, we will instead send you a secure Stripe payment link by text or email so that you can enter your own card details.

8.5 Failed Payments and Chargebacks

If a payment fails, we may retry the charge, suspend your account, or cancel future Bookings until the balance is paid. If you have a concern about a charge, please contact us at support@topnotchnetwork.com before disputing it with your bank so we can try to resolve it. Charges disputed in bad faith may result in account suspension and collection of the amount owed.

8.6 Payments Must Go Through the Platform

All payments for Services booked through the Platform must be made through the Platform. Do not pay a Provider directly in cash or by any other method for a Platform Booking. Services paid outside the Platform are not covered by the satisfaction guarantee, damage claims process, or any other protection in these Terms.

9. Tips

Tipping is optional and never expected as a condition of service. You may add a tip through the Platform within 14 days after your service is completed. 100% of every tip goes to your Provider. Top Notch keeps no portion of tips.

10. Cleaning Membership

Our cleaning membership is a recurring subscription that provides reduced prices on recurring cleanings. Membership includes a 3-month minimum term and renews automatically each month until cancelled. All membership terms, including the minimum term, automatic renewal, and how to cancel, are set out in the Cleaning Membership Agreement, which you must review and accept separately before joining.

11. Cancellations, Rescheduling, and No-Shows

11.1 Cancelling or Rescheduling

You may cancel or reschedule a Booking through your account or the link in your confirmation message.

– 24 hours or more before the start of the Arrival Window: No charge
– Less than 24 hours before the start of the Arrival Window (including same-day Bookings cancelled after confirmation): 25% of the booked service price
– You are not present or the home is not accessible when the Provider arrives: 100% of the booked service price, as described in Section 11.3

11.2 Why We Charge Late-Cancellation Fees

Providers reserve their time and turn down other work to serve you. A portion of every late-cancellation fee, no-show charge, and lockout charge is paid to the Provider who was scheduled for your Booking.

11.3 Lockouts and No-Shows

If the Provider arrives during the Arrival Window and cannot access your home, the Provider will attempt to contact you through the CRM and by phone. If you do not respond and provide access within 15 minutes, the Booking will be cancelled. You will be charged the trip fee in Section 7.4 plus the balance of the full booked service price, up to a total of 100% of the booked service price.

11.4 Cancellations by Top Notch or a Provider

If Top Notch or the Provider cancels your Booking for any reason other than your conduct or an inaccurate Booking, you will not be charged. You may choose to reschedule or receive a full refund of any amount already charged.

11.5 Weather and Unsafe Conditions

A Booking may be rescheduled without a fee to either party if severe weather makes travel unsafe. A Provider may also stop or decline any job if they reasonably believe the Service Location or conditions are unsafe. In either case you will not be charged for Services not performed.

12. Your Responsibilities

12.1 For All Services

– Provide a safe working environment, including adequate lighting and safe access.
– Secure or remove valuables, cash, jewelry, firearms, medications, important documents, and fragile or irreplaceable items before the service.
– Secure pets so that they cannot interfere with or endanger the Provider.
– Treat Providers with courtesy and respect (see Section 17).

12.2 For House Cleaning

– Provide access to the home at the scheduled time, including any codes, keys, or instructions, through the CRM.
– Point out any surfaces, materials, or items that require special care or should not be cleaned.
– Understand that Providers will not move heavy furniture, climb above a step stool, clean biological hazards, mold, or pest infestations, or handle items they reasonably believe are unsafe.

13. Satisfaction Guarantee and Redo Policy

13.1 Reporting a Problem

If you are not satisfied with the quality of the Services, report it through your account or at support@topnotchnetwork.com within 48 hours after the service is completed. Your report must identify the areas of concern and include clear photographs.

13.2 Redo

If we determine that a reasonable portion of the booked Services was not performed to a reasonable standard, we will arrange one free redo of the affected areas, at no cost to you. The redo is limited to the areas identified in your report and the originally booked Services.

13.3 Refunds

– If you decline a redo, any refund is limited to a maximum of 20% of the service price.
– If a redo is not possible, or a redo does not resolve the issue, we may issue a partial or full refund at our discretion, up to the amount you paid for the affected Services.
– Membership fees, trip fees, and cancellation charges are not refundable under this Section.

13.4 What Voids the Guarantee

The guarantee does not apply if you clean or repair the affected area yourself, or have someone else do so, before we can review it; if you prevent the Provider from taking before-and-after photographs; if you did not disclose hazardous or unusual conditions at the time of Booking; if the issue results from normal use after the service; if the issue concerns tasks that were not part of your booked cleaning or add-ons; or if the Services were paid for outside the Platform.

14. Damage and Theft Claims

14.1 Provider Responsibility

Providers are independent businesses and are responsible for loss or damage they cause. Every Provider is required to carry commercial general liability insurance and to provide proof of current coverage to Top Notch before accepting Jobs. Top Notch verifies each Provider’s certificate of insurance and its expiration date, and Providers whose coverage lapses are paused until new proof is provided. A Provider’s insurance may not cover every loss, and coverage is determined by the Provider’s insurer, not by Top Notch. Top Notch does not insure your home or belongings, and Top Notch’s role in claims is limited to the process described below.

14.2 Reporting a Claim

You must report suspected damage or theft within 7 days after the service is completed.

Report claims through your account or at support@topnotchnetwork.com, with photographs, a description, and any supporting documentation such as receipts, repair estimates, or a police report for theft. We may request additional information.

14.3 How Claims Are Resolved

We will notify the Provider, give both you and the Provider the opportunity to submit information, and review the evidence, including the Provider’s before-and-after photographs. Where a Provider’s insurance may apply, the claim will first be submitted to the Provider and the Provider’s insurer, and we will help coordinate that process. By submitting a claim to us, you agree that Top Notch may make a determination regarding the claim and facilitate payment from the Provider. If a valid claim is not paid by the Provider, Top Notch may, at its discretion, compensate you directly. Any amount paid by Top Notch is limited to the lesser of (a) the documented fair market value of the loss or the reasonable cost of repair, or (b) three (3) times the price of the Service during which the loss occurred. Submitting a claim to us does not prevent you from pursuing a claim directly against the Provider or the Provider’s insurer.

14.4 Claim Requirements

To be eligible, the Service must have been booked and paid for in full through the Platform, the claim must be reported within the deadline above, you must have secured valuables as required by Section 12, and you must not have violated these Terms.

14.5 Exclusions

The claims process does not cover:

– Cash, gift cards, securities, or other currency equivalents.
– Jewelry, fine art, antiques, collectibles, furs, precious metals or stones, and items of primarily sentimental value.
– Pre-existing damage, wear and tear, or the existing condition of an item or surface.
– Cosmetic damage that does not affect function, such as minor scuffs, unless clearly caused by the Provider’s work.
– Loss of use, lost income, or other indirect or consequential losses.
– Damage resulting from undisclosed conditions, defects, or prior repairs.
– Items recovered or replaced by the Provider or by another source.
– Losses arising from your own acts or the acts of a third party, or from Services not booked through the Platform.

15. Communications and Consent

15.1 Communicating With Your Provider

Customers and Providers communicate through our CRM and through calls and text messages to phone numbers provided by Top Notch, which connect you with your Provider without revealing either person’s personal phone number. These numbers are provided through our communications provider, Twilio, and are available while a Booking is active. By communicating through the Platform, you consent to Top Notch receiving, storing, and reviewing these communications, including the content of messages and texts, and call details such as the date, time, duration, and phone numbers involved. We use them for safety, quality assurance, customer support, fraud prevention, and resolving disputes and claims. Please do not send sensitive information, such as full card numbers, through these channels.

15.2 Call Recording

Calls to and from Top Notch, and calls between you and your Provider through Top Notch-provided phone numbers, may be recorded. You will hear a notice at the start of any recorded call, and by continuing the call you consent to the recording. Recordings are used for safety, quality assurance, customer support, and resolving disputes and claims.

15.3 Service Texts and Calls

By providing your phone number, you consent to receive calls and text messages from Top Notch and your Provider about your Bookings, including confirmations, Provider details, arrival updates, price-approval requests, payment notices, and satisfaction surveys. These may be sent using automated technology. Message frequency varies. Message and data rates may apply. Reply STOP to stop service texts or HELP for help. Opting out of service texts may affect our ability to coordinate your Booking. If you submit a quote request or lead form, including through one of our ads, we may contact you about that request by email, call, or text using the contact information you provide.

15.4 Marketing Texts and Emails

We send marketing texts only if you separately opt in by checking a box that is not pre-checked. Consent to marketing texts is not a condition of any purchase. You may unsubscribe from marketing emails using the link in any email, and from marketing texts by replying STOP.

15.5 Quiet Hours

We do not send marketing texts before 8:00 a.m. or after 8:00 p.m. in your local time, or at any other times prohibited by applicable law.

15.6 Surveys

We may ask how you heard about us and may send satisfaction surveys after your service.

16. Provider Screening

Providers must complete a background check through a third-party screening provider and provide proof of commercial general liability insurance before they are approved. Background checks have limitations, and Top Notch does not guarantee the conduct, quality, reliability, or suitability of any Provider. Please use the same reasonable care you would use with any person you do not know. Report any safety concern to us immediately and, in an emergency, call 911.

17. Conduct and Zero Tolerance for Abuse

Top Notch has a zero-tolerance policy for verbal, physical, or sexual harassment or abuse, threats, discrimination, or unsafe behavior toward Providers or our staff. We may immediately end a service, suspend or terminate your account, and take legal action if necessary. Providers may leave immediately if they feel unsafe, and you may be charged for the full booked service price if they must leave because of your conduct.

18. Off-Platform Arrangements

Services booked or paid for outside the Platform are solely between you and the Provider and are not covered by these Terms, the satisfaction guarantee, or the damage claims process. You agree not to solicit a Provider you met through the Platform to perform Services off the Platform for 12 months after your last Booking with that Provider.

19. Reviews and Content You Submit

You may submit ratings, reviews, photographs, and other content (“Your Content”). Your Content must be truthful and lawful and must not contain personal information about others, hateful or harassing material, or anything you do not have the right to share. You grant Top Notch a non-exclusive, worldwide, royalty-free license to use, display, and reproduce Your Content to operate, improve, and promote the Platform. We may remove content that violates these Terms but will not remove reviews simply because they are negative. Nothing in these Terms restricts your right to make truthful statements about Top Notch or its Services, as protected by the Consumer Review Fairness Act.

20. Intellectual Property

The Platform, including its design, text, graphics, logos, and software, is owned by Top Notch or its licensors and is protected by intellectual property laws. You receive a limited, revocable, non-exclusive, non-transferable license to use the Platform for personal use under these Terms. You may not copy, modify, distribute, sell, scrape, reverse engineer, or create derivative works of the Platform, or use our name or logo without our written permission.

21. Prohibited Uses

You may not use the Platform to violate any law, submit false information or fraudulent payments, harass or harm others, interfere with or disrupt the Platform, use bots, scrapers, or automated tools, access another person’s account, or circumvent the Platform’s payment system.

22. Third-Party Services

The Platform relies on third-party services such as Stripe for payments and messaging and email providers. Your use of those services may be subject to their own terms. Top Notch is not responsible for third-party services or websites linked from the Platform.

23. Disclaimers, Limitation of Liability, and Indemnification

23.1 Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, TOP NOTCH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TOP NOTCH DOES NOT WARRANT THE QUALITY, SAFETY, TIMING, OR RESULTS OF SERVICES PERFORMED BY PROVIDERS, OR THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.

23.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TOP NOTCH AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOSS OF USE, OR LOSS OF DATA. TOP NOTCH’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE PLATFORM, OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TOP NOTCH IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). CLAIMS FOR DAMAGE OR THEFT ARE GOVERNED BY SECTION 14.

23.3 Exceptions

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for Top Notch’s own gross negligence, fraud, or willful misconduct, or for death or personal injury caused by Top Notch’s own negligence. Some states do not allow certain disclaimers or limitations, so some of the above may not apply to you, and you may have additional rights under the consumer protection laws of your state.

23.4 Indemnification

You agree to indemnify and hold harmless Top Notch and its members, managers, employees, and agents from claims, losses, and expenses, including reasonable attorneys’ fees, arising from your violation of these Terms, your violation of any law or the rights of a third party, or your misuse of the Platform, except to the extent caused by Top Notch’s own negligence or misconduct.

24. Dispute Resolution and Arbitration Agreement

24.1 Informal Resolution First

Before starting arbitration or a lawsuit, you and Top Notch agree to try to resolve any dispute informally. Send a written notice describing the dispute and the relief you want to support@topnotchnetwork.com with the subject line “Dispute Notice,” or by mail to the address in Section 29. Both parties agree to negotiate in good faith for 60 days after the notice is received.

24.2 Binding Arbitration

If the dispute is not resolved informally, you and Top Notch agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, the Services, or your relationship with Top Notch will be resolved by final and binding individual arbitration, rather than in court, except as provided in Section 24.5.

24.3 Rules and Fees

The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. For claims of $10,000 or less, Top Notch will pay all AAA filing, administrative, and arbitrator fees, unless the arbitrator finds your claim was frivolous or brought for an improper purpose. For larger claims, fees will be allocated under the AAA rules. Hearings will take place by video conference or, if in person, in the county where you live or another mutually agreed location.

24.4 Class Action and Jury Trial Waiver

YOU AND TOP NOTCH AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU AND TOP NOTCH EACH WAIVE THE RIGHT TO A JURY TRIAL.

24.5 Exceptions

Either party may bring an individual claim in small claims court if it qualifies. Either party may seek injunctive relief in court to protect intellectual property rights. Nothing in this Section prevents you from reporting concerns to any government agency.

24.6 Mass Arbitration

If 25 or more similar demands for arbitration are filed by or with the assistance of the same law firm or coordinated group, the AAA Mass Arbitration Supplementary Rules will apply, and the demands may be administered in batches.

24.7 Severability of This Section

If the class action waiver is found unenforceable as to a particular claim, that claim must be severed and decided in court, and all other claims will remain in arbitration. If any other part of this Section is found unenforceable, the rest will remain in effect.

24.8 Your Right to Opt Out

You may opt out of this arbitration agreement by emailing support@topnotchnetwork.com with the subject line “Arbitration Opt-Out,” including your name, account email, and a statement that you are opting out, within 30 days after you first accept these Terms. Opting out will not affect any other part of these Terms or your use of the Platform.

25. Governing Law and Venue

These Terms are governed by the laws of the state in which Top Notch Network LLC is organized, without regard to its conflict-of-laws rules, except that the arbitration agreement in Section 24 is governed by the Federal Arbitration Act. Any dispute not subject to arbitration will be brought in the state or federal courts located in the county of Top Notch’s principal place of business, and you consent to their jurisdiction, except where the law of your state of residence requires otherwise. Nothing in this Section deprives you of the protection of mandatory consumer protection laws of your state of residence.

26. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new effective date. For material changes, we will notify you by email or through the Platform at least 30 days before they take effect. Changes do not apply to Bookings confirmed before the effective date or to disputes that arose before the change. If you continue to use the Platform after the effective date, you accept the updated Terms. If you do not agree, you may stop using the Platform and close your account.

27. Suspension and Termination

You may close your account at any time by contacting support@topnotchnetwork.com, subject to the Cleaning Membership Agreement if you are a member. We may suspend or terminate your account or refuse service if you violate these Terms, engage in fraud or abusive conduct, create a safety risk, fail to pay amounts owed, or for any other lawful reason. We will try to give you notice and an opportunity to respond, except where immediate action is needed for safety or legal reasons. Amounts owed before termination remain payable. Sections 8, 13, 14, 19, 20, and 23 through 29 survive termination.

28. General

These Terms, together with the Privacy Policy and, if applicable, the Cleaning Membership Agreement, are the entire agreement between you and Top Notch about the Platform. If any provision is found unenforceable, it will be modified to the minimum extent necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.
